Terms and conditions.

These terms are an agreement between you and [[LEGAL ENTITY NAME]] (ABN [[ABN]]), trading as Leadout ("Leadout", "we", "us"). They apply when you use leadout.digital or engage us for work. A written quote for a piece of work forms part of these terms; where the two differ, the quote wins.

What we do

  • Implementation. We set up and connect AI and automation inside the systems you already run, such as Simpro, ServiceM8, GoHighLevel and Lana, and between them.
  • Simpro and ServiceM8 work. Set-up, optimisation and configuration of those systems.
  • Training. Sessions for your team on your systems and the AI tools around them.
  • Support. Ongoing help after a build, where agreed in writing.

Every piece of work is quoted in writing before it starts, with what's included, the price and the finish line.

Fees and payment

  • Prices are in Australian dollars and exclude GST unless the quote says otherwise.
  • We invoice as set out in the quote. Invoices are due within [[PAYMENT TERMS, e.g. 14 days]].
  • Your software and AI subscriptions (for example Simpro, ServiceM8, HighLevel, Lana, Claude or ChatGPT) stay in your name and are billed to you by those vendors, not by us.
  • [[REFUND AND CANCELLATION POLICY for quoted work, e.g. deposits and work already done]]

Your part

  • Give us the access a build needs, ideally through your own accounts with the narrowest permissions that work, and tell us who approves changes.
  • Only message people who have agreed to hear from you, and honour opt-outs. You are responsible for the anti-spam and telemarketing laws that apply to you, including Australia's Spam Act and the Do Not Call Register.
  • Where calls are recorded or transcribed, make sure callers are told. Several states and territories require every party's consent.
  • Keep your logins secure, and tell us promptly if you think an account has been compromised.

How we work with your systems

Our builds start read-only or as a dry run, and nothing that changes your records goes live until a person on your side approves it. We work in your own accounts; we don't copy your data into systems we own. Leadout is a certified ServiceM8 partner and is otherwise independent of the software vendors we work with. Their terms govern your use of their products, and a connection can be interrupted when a vendor changes its systems. When that happens we'll tell you and work to restore it.

AI features

AI assistants and agents answer from what they're given and can still be wrong. Review what they're trained on, tell us when an answer is wrong, and don't rely on them for advice your business is responsible for giving. Customers should always be told when they're dealing with an AI.

Your data and our work

Your data stays yours. We use it only to do the work, as described in our privacy policy. Once you've paid for a build, you can keep using what we built for you. We keep the rights to our own tools, templates and methods.

Liability

Nothing in these terms excludes rights you have under the Australian Consumer Law or other laws that can't be excluded. Otherwise, our total liability to you for a piece of work is limited to the fees you paid for it, and we're not liable for indirect losses such as lost profits or lost data.

Ending an engagement

Either of us can end ongoing support with [[NOTICE PERIOD, e.g. 30 days']] written notice to hello@leadout.digital. Quoted work in progress is billed to the point it stops, and we'll hand over what's been built and any access you gave us.

Changes and law

We may update these terms; the date at the top shows the current version. These terms are governed by the laws of New South Wales, Australia, and disputes go to its courts.
